Item 8.01
Other Events

In light of the circumstances and uncertainty surrounding the effects of the COVID-19 coronavirus pandemic on the business, employees, consultants and service providers of GALAXY GAMING, INC. (the “Company”), the Company’s Board of Directors and management have determined that it will delay the filing of its report on Form 10-Q for the first quarter ended March 31, 2020, relying on an order issued by the Securities and Exchange Commission (the "SEC") on March 25, 2020 (which extended and superseded a prior order issued on March 4, 2020) pursuant to Section 36 of the Securities Exchange Act of 1934, as amended (Release No. 34-88318) (the "Order"), regarding exemptions granted to certain public companies.

The Company’s operations and business have experienced disruption due to the unprecedented conditions surrounding the COVID-19 pandemic spreading throughout the United States and the world. Specifically, many of the Company’s customers closed in mid-March and have not yet been able to report their usage of the Company’s products for March. This has made the Company unable to finalize its financial statements for the first quarter of 2020 as of the regular filing date for the 10-Q. Accordingly, the Company will be making use of the 45-day grace period provided by the Order. The Company plans to file its first quarter 10-Q no later than June 29, 2020.
